However, when payment arrears start to accumulate and your customer’s financial position deteriorates, an outstanding invoice can quickly turn into a definitive loss. In a bankruptcy situation, ordinary suppliers usually rank behind creditors with stronger legal rights and securities. By the time bankruptcy is formally declared, creditors are often left with very limited options to improve their position. Recent reporting by De Tijd has once again highlighted this risk. In six out of ten closed bankruptcy cases, there were insufficient funds available to even cover the costs of the bankruptcy proceedings. The key message is therefore clear: do not wait until your customer goes bankrupt. The sooner an unpaid invoice is professionally followed up, the more options generally remain available to secure payment and protect your position as a creditor.

An Unpaid Invoice Is More Than an Administrative Issue

Every unpaid invoice puts pressure on your cash flow.

Your company has already delivered the goods or performed the agreed services. The related labour, production, transport and operating costs have been incurred, but payment remains outstanding. Meanwhile, your own financial obligations continue as normal.

When several customers consistently pay late, this can have a serious impact on your company’s working capital. In B2B environments, a single problematic debtor can significantly affect liquidity.

Professional receivables management is therefore much more than an administrative task. It is an essential part of financial risk management.

How Can You Identify a High-Risk Customer Before It Is Too Late?

Bankruptcy rarely comes completely out of the blue. In many cases, warning signs have been visible for some time, indicating that a business is under financial pressure.

However, creditors often wait too long. They assume payment will arrive “next week” or that the debtor is merely experiencing a temporary cash flow problem. As a result, valuable time is lost and recovery options gradually diminish.

Pay particular attention to the following warning signs:

invoices are being paid increasingly late;

previously agreed payment arrangements are not being honoured;

the customer repeatedly requests additional payment extensions;

contact persons stop responding to emails or phone calls;

de klant vraagt plots om een afbetalingsplan;

email addresses are no longer active or appear to be incorrect;

the customer continues placing new orders while older invoices remain unpaid;

there are frequent changes in management or company structure;

annual accounts are filed late or not filed at all;

the registered company address has been administratively struck off.

No single indicator proves that bankruptcy is imminent. However, the more warning signs accumulate, the greater the risk that a temporary payment issue will evolve into a structural financial problem.

Professional credit managers therefore do not wait until a customer is declared bankrupt. They take action as soon as payment arrears become structural. At that stage, recovery prospects are usually still at their highest.

What Happens to Your Invoice If Your Customer Goes Bankrupt?

Once a customer is declared bankrupt, you can no longer recover the outstanding invoice through normal collection procedures. The court appoints a bankruptcy trustee, who administers the bankruptcy estate. The trustee identifies the company’s assets, sells them where necessary and distributes the proceeds among creditors in accordance with the applicable legal ranking.

As a supplier or service provider, you become a creditor in the bankruptcy proceedings. Your claim must be filed correctly and within the applicable deadlines.

Creditors holding security rights or statutory preferences may enjoy a stronger position than ordinary unsecured creditors. In practice, ordinary suppliers often recover only part of their claim, if anything at all.

This is why the distinction between acting before and after bankruptcy is so important:

Before bankruptcy, you can still negotiate, arrange payment plans, seek additional security or initiate recovery action. After bankruptcy, recovery largely depends on the insolvency procedure, your ranking and the remaining assets.

Judicial Reorganisation: An Important Warning Signal

A customer does not need to be bankrupt to experience serious financial difficulties. A judicial reorganisation procedure is an important warning sign.

Through judicial reorganisation, a company attempts to preserve all or part of its business activities. During this period, the company benefits from temporary protection against its creditors while working on a reorganisation plan, amicable settlement or court-supervised transfer.

A judicial reorganisation does not automatically mean that bankruptcy will follow. It does, however, confirm that the company is facing financial difficulties and that your normal recovery options may be temporarily restricted by law.

As a creditor, passive observation is rarely a sensible strategy. It is important to:

verify whether your claim has been correctly included;

monitor the applicable deadlines carefully;

assess the proposed reorganisation plan;

evaluate the impact of the plan on your claim;

continue monitoring the implementation of the plan.

If a claim is not properly included in the procedure, there is a risk that it may not be taken into account in the repayment plan. Even after court approval, ongoing monitoring remains essential to ensure that the plan is effectively implemented.

Important: the protection granted by a judicial reorganisation generally only applies to debts that arose before the opening of the procedure. Invoices relating to goods or services supplied afterwards must still be paid correctly and on time to the creditor.

RegSol: Properly Filing and Monitoring Your Claimn

Belgian bankruptcies and judicial reorganisations are managed digitally through RegSol, the Central Solvency Register.

Creditors, debtors, legal representatives and other interested parties can use RegSol to monitor bankruptcy files, judicial reorganisations, court-supervised transfers and certain amicable settlements.

Filing a claim is more than a mere administrative formality. The claim must be properly documented, supporting evidence must be submitted and the procedure must be actively monitored afterwards. Only during the verification of claims does it become clear whether, and to what extent, the trustee accepts the claim. This decision is recorded in the verification report.

TCM Belgium can assist with filing and monitoring your claim, ensuring that supporting documents, deadlines and procedural developments are professionally managed.TCM Belgium kan de aangifte en verdere opvolging van uw schuldvordering verzorgen. Zo worden de relevante bewijsstukken, termijnen en procedurele ontwikkelingen centraal bewaakt en hoeft uw eigen administratie het volledige traject niet zelf te beheren.

JustRestart: relevant bij een collectieve schuldenregeling

JustRestart should not be confused with RegSol.

While RegSol focuses on business insolvency procedures, JustRestart is the central platform for collective debt settlement procedures involving private individuals. The platform supports cases where an individual facing excessive debt seeks legal protection and, upon court approval, is assigned a debt mediator.

This distinction is important for businesses dealing with both corporate and private debtors:cheid is belangrijk voor ondernemingen met zowel zakelijke als particuliere debiteuren:

RegSol is relevant voor onder meer faillissementen en gerechtelijke reorganisaties van ondernemingen;

JustRestart is relevant voor collectieve schuldenregelingen van natuurlijke personen.

In both situations, creditors must actively safeguard their rights. The opening of a debt settlement or insolvency procedure does not automatically guarantee that your claim will be properly followed up

Retention of Title: Avoid Joining the Queue of Ordinary Creditors

Suppliers may strengthen their legal position through a properly drafted retention of title clause.

Such a clause ensures that ownership of the delivered goods remains with the supplier until full payment has been received. This can be particularly valuable whén a customer becomes insolvent while the goods are still identifiable and recoverable.

However, a retention of title clause does not offer automatic protection. It must be validly agreed upon and enforceable. It is also necessary to determine:

whether the general terms and conditions were validly accepted;

whether the goods remain identifiable;

whether the goods have been processed, mixed or resold;

which formalities and deadlines apply;

what actions can still be taken within the insolvency procedure.

In insolvency matters, timing is critical.

Delaying action may not only jeopardise payment but also the opportunity to reclaim the supplied goods.

The Belgian Pledge Act and the Pledge Register Can Strengthen Your Position

The Belgian Pledge Act has reinforced the legal framework surrounding retention of title. As a result, retention of title can offer protection not only in bankruptcy situations, but also in cases involving attachment proceedings, liquidation and other insolvency scenarios.

Registration of a retention of title clause in the Pledge Register is not always mandatory, but it can strengthen the supplier’s position considerably. In some situations, such registration is even required.

The key lesson is that protection must be organised in advance. Once bankruptcy or judicial reorganisation proceedings are underway, it is often too late to remedy missing contractual safeguards.

Strong credit management therefore begins long before the first payment reminder is sent. It starts with robust contracts, sound terms and conditions, and appropriate security arrangements.

Check this article for more info.

Why Fast Action Improves Recovery Prospects

A late payment does not automatically mean that a customer is unwilling or unable to pay.

The reason may be relatively straightforward:

the invoice was not received (less common in Belgium due to Peppol);

a purchase order number or internal reference is missing;

the invoice is awaiting approval;

a dispute has arisen;

the customer is experiencing temporary liquidity issues.

Maar elke dag dat een factuur onbetaald blijft, verhoogt wel het risico. Documenten raken verspreid, contactpersonen veranderen, betwistingen verharden en de financiële toestand van de schuldenaar kan verder verslechteren.

Professional intervention at an early stage offers two important advantages. It increases the likelihood of an amicable settlement and helps determine more quickly whether the issue is administrative, substantive or financial in nature.

Personal contact is also one of the most effective ways to move a case forward. Direct discussions with the debtor often reveal the real reason behind the delay and create opportunities to find a solution before matters escalate.

With more than 30 years of experience, TCM Belgium knows when a constructive dialogue is appropriate and when a firmer approach becomes necessary. Acting quickly, professionally and personally often allows issues to be resolved before they evolve into judicial reorganisation or bankruptcy.

The sooner you act, the more options remain available and the greater the chance of successful recovery.Hoe vroeger u handelt, hoe meer opties er doorgaans nog op tafel liggen.

International Bankruptcies Require Local Expertise

International insolvency cases are considerably more complex.

Insolvency laws, filing requirements, deadlines and creditor rankings vary significantly from country to country. It is also essential to determine the exact legal entity with which you contracted.

For example, a Belgian subsidiary can be declared bankrupt independently, whereas a Belgian branch office forms part of the foreign parent company. In such situations, creditors may need to file their claim in the foreign insolvency proceedings of the parent company.

Dividend payments in international insolvencies are often limited. However, that does not mean foreign claims should automatically be written off. Without proper local follow-up, deadlines may expire, claims may be incorrectly filed and opportunities may be missed.

For this reason, international insolvency matters are generally best handled by local lawyers or specialised insolvency professionals familiar with:

national insolvency law;

the competent courts;

trustee practices;

local claim filing procedures;

applicable deadlines;

documentary requirements;

local language and business customs;

available security rights and creditor protections.

Through its international network, TCM Belgium works with specialised local partners in more than 150 countries, ensuring that claims are handled by professionals who understand the local legal framework.

This gives you a single point of contact while ensuring that your case is handled locally and efficiently.

Are you dealing with an unpaid invoice, a debtor under judicial reorganisation, a bankrupt customer or an international insolvency procedure?
