When both parties apply their own general terms and conditions and these contain conflicting provisions, the conflicting clauses are excluded. This mechanism—often referred to as the knock‑out rule—means that only the compatible and non‑conflicting parts of each party’s terms remain applicable, while the conflict itself does not invalidate the contract. Any gaps created by the exclusion are filled by the applicable default legal rules.
